Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Catalyst Operations Partners LLC, operating as Catalyst AI Local ("Company," "we," "us," or "our").

By purchasing our services, scheduling a consultation, or accessing our website at local.catalystoperationspartners.com, you agree to be bound by these Terms.

Services Provided

Catalyst AI Local provides AI-powered automation services for trade and service businesses, including:

• Instant lead response via SMS and email (within 5 minutes of inquiry)
• Automated quote follow-up sequences
• Google review generation campaigns
• Appointment confirmation and reminder automation
• CRM setup, configuration, and integration
• Monthly strategy calls and performance reporting (Growth and Pro plans)

Specific services are defined by the plan selected at enrollment. Scope may be modified by mutual written agreement.

Fees, Billing & Payment

• Setup Fee: A one-time, non-refundable fee charged at enrollment covering system configuration and onboarding.
• Monthly Subscription: Recurring fees charged in advance on your billing date. Subscriptions renew automatically each month until cancelled.
• Payment Method: All payments are processed via Stripe. You authorize us to charge your payment method on file for recurring fees.
• Failed Payments: Services may be suspended after a 5-day grace period following a failed payment. We will attempt to notify you before suspension.

All fees are in U.S. dollars. Pricing may change with 30 days written notice to active clients.

Cancellation Policy

You may cancel at any time by contacting us at info@catalystoperationspartners.com or (862) 292-9807.

• Cancellations must be submitted at least 7 days before your next billing date to avoid the next charge.
• Services remain active through the end of the current paid billing period.
• No refunds are issued for partial months or unused service periods.
• Setup fees are non-refundable under any circumstances.

No Guarantee of Results

Results depend on many factors outside our control, including your market, competition, pricing, and lead quality. Case studies and testimonials on our website reflect individual client experiences and are not a guarantee of similar results for your business.

Client Responsibilities

• Provide accurate and complete business information during onboarding
• Ensure that phone numbers and email addresses we configure are valid and authorized for use
• Comply with applicable laws governing business communications, including the TCPA and CAN-SPAM Act
• Obtain any required consent from your customers before we send automated messages on your behalf
• Respond to qualified leads in a timely manner after our system delivers initial outreach
• Keep your payment information current

Prohibited Use

You may not use our services to:

• Send spam or unsolicited messages to individuals who have not consented
• Engage in any activity that violates federal, state, or local laws
• Misrepresent your identity or business in automated communications
• Interfere with any platform or system we use to deliver your automation
• Resell or transfer access to our services without written consent

Violation may result in immediate service termination without refund.

Intellectual Property

All automation workflows, templates, and configurations we build remain the intellectual property of Catalyst Operations Partners. Upon full payment, you receive a license to use these systems during your active subscription.

Upon cancellation, your license to use proprietary Catalyst AI Local workflows terminates. You retain full ownership of all data in third-party platforms (HubSpot, Calendly, etc.) in your accounts.

Limitation of Liability

To the maximum extent permitted by law, Catalyst Operations Partners LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.

Our total liability for any claim shall not exceed fees paid by you in the three (3) months preceding the claim. We are not responsible for outages or errors caused by third-party platforms outside our reasonable control.

Indemnification

You agree to indemnify and hold harmless Catalyst Operations Partners LLC from any claims, liabilities, or expenses arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third party's rights, including TCPA or CAN-SPAM violations resulting from your client data; or (d) any information you provide to us.

Confidentiality

Both parties agree to treat as confidential any proprietary business information shared during the engagement, including pricing, workflows, customer data, and strategy. Neither party will disclose such information to third parties without prior written consent, except as required by law.

Governing Law & Disputes

These Terms are governed by the laws of the State of New Jersey. Disputes shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall go to binding arbitration under AAA rules in Bergen County, New Jersey.

Modifications to Terms

We may update these Terms at any time. Active clients will be notified via email at least 14 days before material changes take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.

Entire Agreement

These Terms, together with any proposal or service agreement provided at enrollment, constitute the entire agreement between you and Catalyst Operations Partners LLC. If any provision is found unenforceable, the remaining provisions remain in full force.
